Mr. Douglas MacLellan
Chairman & CEO
Douglas MacLellan is a venture capitalist, merchant banker and business incubation expert. MacLellan has been a catalyst for the development and financing of global businesses in the United States and throughout the world including: Bulgaria, Cambodia, Canada, Chile, China, Hungary, India, Korea, Madagascar and Russia over the past 15 years. Throughout his professional career he has served on the board of numerous companies or as a management team member, has provided advice and counsel on strategic planning, operational activities, corporate finance, economic policy, asset allocation and mergers and acquisitions. He has helped raise more than $500 million for development stage, start-up and mid-cap companies and helped emerging growth companies achieve their corporate objectives.
MacLellan has extensive experience developing businesses in China, including a thorough understanding of the regulatory framework and how to work with local authorities as well as substantial contacts in the government and business communities. He has been working in China since 1983 and is a recognized authority on joint venture and wholly foreign owned enterprise (WFOE) structuring. In regards to U.S. publicly listed companies experience, Mr. MacLellan has over 10 years of active audit committee chair experience that includes managing through difficult investigative matters.
Douglas MacLellan currently is a co-founder and serves as Vice-Chairman and Chairman of the Audit Committee of Edgewater Foods, Inc. (www.edgewaterfoods.com), a Canadian-based aquaculture company (OTC: EDWT). He is also a member of the board of directors and Chairman of the Audit Committee of AMDL, Inc. (AMEX: ADL), a biotechnology firm (www.amdl.com). MacLellan is also chairman of the MacLellan Group, Ltd., a sixteen year old international financial advisory firm (www.maclellangroup.com. He is also currently Chairman of Broadband Access Marketspace, Ltd. (www.bamarketspace.com), a China-centric IT advisory firm.
He recently served as Vice-Chairman of the board & Chairman of the Audit COmmittee of AXM Pharma, Inc. (AMEX: AXJ), a bio-pharmaceutical company that manufactures over-the-counter and generic pharmaceutical products and Sunkist branded vitamins & suppliments in China and other countries within Asia-Pacific, from 2000 to September 2005. Drawing on his extensive experience in developing and financing businesses in emerging markets, particularly in the pharmaceutical, telecommunications and software industries, he played a key role in structuring the merger that allowed AXM Pharma to be listed on the American Stock Exchange and raise approximately US$18 million in four U.S. private placements between late 2003 and mid-2005.
Douglas MacLellan serves as vice-chairman of the board of Axm Pharma, Inc. (AMEX: AXJ), a bio-pharmaceutical company that manufactures over-the-counter and generic pharmaceutical products and vitamins in China for the burgeoning Chinese market (www.axmpharma.com).
Drawing on his extensive experience in developing and financing businesses in emerging markets, particularly in the pharmaceutical, telecommunications and software industries, he played a key role in structuring the reverse merger that allowed Axm Pharma to be listed on the American Stock Exchange and raise approximately $10 million in three U.S. private placements in late 2003 and early 2004.
MacLellan is also currently chairman and CEO of Broadband Access MarketSpace, Ltd., (www.bamarketspace.com) a China-centric IT firm that owns the 'Zinc Networks' brand of VOIP switch, router and modem product lines (www.zincnetworks.com). He is also a member of the board of directors of AMDL, Inc. (AMEX: ADL), a biotechnology firm (www.amdl.com). MacLellan also serves as chairman of its audit committee. MacLellan is also chairman of the MacLellan Group, LLC. (MGL) a twelve year-old international financial advisory firm (www.maclellangroup.com). Maclellan founded the Maclellan Group, Inc. (MGI) in 1992 and in 2003 formed MGL.
Formally, he co-founder of Wireless Electronique, Ltd., a cellular telecommunications company involved in joint venture operations with China Unicom (NASDAQ: CHU) in Yunnan, Inner Mongolia and Ningxia provinces He also served as vice-chairman of Asia American Telecommunications (now Metromedia China Corporation) a majority owned subsidiary of Metromedia International Group, Inc. (AMEX: MMG), that had PSTN and cellular joint ventures in Sichuan Province and Ningbo. He co-founded and served on the board of FirstCom Corporation (NASDAQ: FCLX), an international telecommunications company that operates a competitive access fiber and satellite network in Latin America, which became AT&T Latin America (NASDAQ: ATTL) in August 2000. Previously, MacLellan was co-chairman of the Strategic East European Fund and a member of its investment committee. MacLellan co-founded and served as president of Maroon Bells Capital Partners, Inc., a U.S.-based merchant bank that specializes in providing corporate finance services to companies in the international and domestic telecommunications and media industries.
MacLellan was educated at the University of Southern California. He received advanced training in classical economic theory and international relations. He was a student of Arthur Laffer, Ph.D. and subsequently worked for Laffer and Associates as an economist, during the hay-day of supply-side economics. MacLellan has authored numerous industry specific research papers, portfolio strategy and economic forecasts over the past 20 years.
Mr. Mark Elenowitz
Senior Transaction Structuring Partner
Mr. Elenowitz has been a significant financial transaction structuring Partner of MGL. Mr. Elenowitz is a co-founder and managing director of TriPoint Capital Advisors. He is responsible for the overall corporate development of the firm and assisting our clients with high-level financial services and general business development. Mr. Elenowitz is a former Director and President of an international media company, specializing in the production and distribution of various media content for worldwide distribution across multiple media platforms such as traditional television, film, and the Internet. In this role he was responsible for the company.s overall corporate development and corporate finance. Mr. Elenowitz was Co-Chairman and Managing Director of GroupNow!, Inc. He was charged with developing, sourcing and negotiating acquisitions and strategic partnerships for GroupNow! and its subsidiaries. Mr. Elenowitz integrates a strong, successful entrepreneurial background with extensive financial services and capital markets experience. He is also the senior managing director of Investor Communications Company, LLC (ICC), a national investor relations firm he founded in 1996. Through ICC, Mr. Elenowitz has developed ongoing relationships with other investment banking firms, market makers, and analysts. Mr. Elenowitz has worked with over 30 publicly traded companies providing financial consulting and strategic planning services. Previously, Mr. Elenowitz held Series 7 and 63 licenses as a broker, and held a Series 24 license (Branch Manager) at a regional brokerage firm and also served as Vice President of Sales at a NYSE member firm. Mr. Elenowitz is the recipient of several entrepreneurial awards. He is a graduate of the University of Maryland School of Business and Management, with a Bachelor of Science in Finance.
Mr. Curtis Hollister
Senior Operational & Technology Partner
Mr. Hollister is a senior Operational & Technology Partner to MGL. He is a known technologist and senior entrepreneurial executive. Over the past 10 years Curtis Hollister has worked with emerging technology markets. He has been the architect of 3 successful technology startups that have been acquired by public firms. He is the President & COO of both Broadband Access MarketSpace, Ltd. And Zinc Networks. Formally, Mr. Hollister was CTO of Itemus Inc. As Chief Technology Officer of Itemus, Curtis played a pivotal role in the investment and acquisition of 22 companies over an 18-month period. During his term he assisted the company to raise over $60 Million dollars in investment capital.
Mr. Lifeng Zhang
Senior China Transaction Partner
Mr Zhang is a Senior China Transaction Partner. Mr. Zhang holds over 14 years of experience as an IT equipment distribution and training professional. Mr. Zhang has held senior management positions with China and U.S. based software and hardware manufacturers. Zhang is also a Partner at Broadband Access MarketSpace, Ltd., focusing on developing relationships with China based IT equipment manufacturers. He is also currently CEO and Founder of Training & Consulting Management, Ltd., located in Beijing China. Mr. Zhang was also the Vice President of Skystar (Beijing) Corporation a broadband data centric business, since June 2001. In September 1999, Mr. Zhang founded Aflea Corporation, which was subsequently merged with Skystar in June 2001. Mr. Zhang was President & Founder of Unifriends Corporation a China based E-commerce medical equipment sales firm from 1998 to January 2000. From 1996 to 1998 Mr. Zhang was Vice President of Chenguang Group a China based wholesale company. From 1995 to 1997 he was Vice General Manager and Sales Manager of Fulong Economic Development Corporation a China based computer Distribution Company. From 1988 through 1995, Mr. Zhang was Manager of the Engineering Department of Landtop Group a China based LED products manufacture and Sales Company. He was educated at Northern Jiaotong University in Beijing and received a BA in Railway Transportation in 1984.
Louis E. Taubman, Esq.
Senior SEC Legal Advisor
Mt. Taubman is a senior SEC & NASD legal advisor to MGL. Mr. Taubman is a co-founder and member in TriPoint Capital Advisors, LLC. Mr. Taubman manages all legal aspects of the Company including strategic planning for the firm. Mr. Taubman advises our clients with regard to corporate restructuring, corporate finance, and the structuring of individual mergers and acquisitions. Mr. Taubman was Executive Vice President and General Counsel of GroupNow!, Inc. In this role he managed all legal aspects of the Company including strategic planning for GroupNow! and structuring of the company's acquisitions. Mr. Taubman maintains a law practice located in New York's Financial District. Prior to entering private practice, Mr. Taubman served as an attorney in the legal department of Prudential Securities, Inc. Mr. Taubman provides counsel to both issuers and underwriters with regard to public and private finance, periodic reporting under the Securities Exchange Act of 1934, Williams Act reporting, M&A transactions and corporate governance issues. Mr. Taubman graduated cum laude from New York Law School and is a member of the New York Bar.
